Formation Checklist (Pre-Filing)
Business Location
Choose how you'll operate your business. This switches Formation guidance to match your setup.
Home Occupation & Zoning
Local rules varyBefore you operate from home, confirm your city/county allows it (traffic, signage, employees, inventory).
Taxes & Compliance Snapshot
State-level + local- Get an EIN (even if you're solo) for banking & separation.
- Register sales tax if you sell taxable goods (and track nexus if selling online).
- Keep a dedicated business bank account.
Home Business Checklist
Online-Only Setup
No customer trafficIf you operate online without customers visiting your home, zoning issues are usually minimal. Still verify local rules if you store inventory or run signage.
E-commerce Tax Notes
Nexus awareness- Register sales tax in your home state if selling taxable goods.
- Track economic nexus thresholds in other states as you grow.
- Keep clean bookkeeping from day one.
Commercial Location Notes
Lease + permitsCommercial spaces often require business licensing, inspections, signage approvals, and lease compliance. Confirm requirements before signing.
Insurance & Safety
Risk reduction- General liability is standard for most physical locations.
- Workers' comp may be required if you have employees.
- Plan for permits and inspections (industry-dependent).
State Formation Portals
Use this to go straight to your state's official portal to form an LLC, corporation, or other entity.
Use this if your state has a special portal link you prefer. Blughprints will remember it on this device.
Core Federal Requirements
These are the federal registrations almost every U.S. business should complete. They apply in all 50 states.
Do these alongside your state filing so your bank, accountant, and lenders see a complete "real" business file.
NAICS & Required Forms
Advanced Formation (Later / Scaling)
You usually don't need these on day one. They become important when you expand, fix filings, or operate in multiple states.
- Foreign qualification: when your business is formed in one state but is doing real business (office, employees, jobs) in another. File through that state's portal using the Open Portal button.
- Reinstatement / revival: if you miss annual reports or taxes and the state marks you inactive. Use your state portal to file reinstatement and pay any back fees.
- Amendments: when you change the business name, owners, or structure. Look for "Articles of Amendment" or similar on the portal.
- Registered agent / address changes: to keep your agent and mailing address current so you never miss legal notices.
- DBA / assumed names: if you want to operate under a different brand name than your legal entity name.
Blughprints keeps these items visible so you remember what's coming next as you grow, but you can ignore them until your business reaches that stage.
Compliance
Info + automation. Not legal advice. Always verify with official sources.
Business Compliance Navigator
Use this to map out the state, local, and industry-specific steps your business must complete beyond basic formation. This is a planning tool only — always confirm with your local officials and a licensed pro.
How this works
Blughprints groups requirements into Core (file now) and Advanced (usually after revenue, employees, or build‑out). The lists are personalized using your state + industry but are not legal advice.
For exact forms, deadlines, and license types in your city or county, follow the “Where to file” hints and confirm with your local clerk, licensing office, or a qualified attorney/CPA.

Checklist overview
Choose a state and industry to see the core and advanced compliance steps for your business.
Core — file early
These are the steps most new businesses should complete before opening or hiring.
Advanced / later
These tend to become required once you have employees, a build‑out, vehicles, or higher risk work.
Tip: Keep legal name + address consistent across Formation, Loans, Property, and CAD to avoid delays.

Health Insurance
Use this to budget health coverage before you hire, compare solo-owner coverage against team benefits, understand when group coverage starts making sense, and push the monthly cost into Financials. This is planning guidance only — confirm details with a licensed broker, benefits platform, or your state marketplace.
What business owners can use this for
Do you legally need to offer health insurance?
Reminder: Workers' comp is different from health insurance and may be required as soon as you hire, depending on your state.
Find help
Most businesses use a broker, marketplace, or benefits platform. You usually do not have to apply directly to an insurance carrier.
Your best options
Enter your employee count to see recommended paths.
What to ask a broker
How applying works (quick)
- Broker path: you provide your EIN + employee list, the broker shops carriers, then submits enrollment.
- SHOP path: enroll through Healthcare.gov (or your state exchange) for small business plans.
- HRA path (QSEHRA/ICHRA): you set a reimbursement budget, employees choose their own plan, you reimburse via an admin platform.
- PEO path: you join a PEO for bundled payroll/HR/benefits; employees enroll in their plans.

Payroll & Compliance (Auto-Managed)
Status: — No-Accountant Mode: enabledLock your rules once so payroll, records, and compliance always stay consistent. Changes require an audit note.
Rules enforced: Employees are W-2 only. Contractors are 1099 only. Payroll auto-writes records and compliance signals. No manual journal entries exist in this suite.
Blughprints automatically manages payroll, compliance signals, and records for typical small businesses. If you choose unusual structures (international payroll, M&A, complex equity), you may still want specialist review.
